NON-DISCLOSURE AND INTELLECTUAL PROPERTY AGREEMENT This Agreement is entered between Olewin Publications Private Limited (India) / Olewin Research LLC (USA) ("Company") and the undersigned Researcher ("Participant"). 1. CONFIDENTIALITY All project details, methodologies, data, intermediate results, and proprietary information shared by the Company with the Participant are strictly confidential. 2. INTELLECTUAL PROPERTY All research outputs, inventions, algorithms, datasets, models, and publications arising from Company-assigned projects shall be co-owned by the Company and the Participant. The Company retains patent filing rights; Participants listed as co-inventors where applicable. 3. NON-COMPETE During the project period and 12 months thereafter, Participant shall not undertake substantially similar research for direct competitors without written approval. 4. DATA PROTECTION All personal and institutional data handled per GDPR, India's DPDP Act 2023, and applicable US data laws. 5. PUBLICATION RIGHTS Research may be published after Company review. Participants retain academic credit; Company retains licensing rights. 6. GOVERNING LAW This Agreement governed by the laws of India and the State of Delaware, USA, as applicable.
